1. Acceptance of Terms Welcome to the website for The Network for Business Sustainability (“NBS”), which provides information, networking and research services to you subject to the following terms of service (“Terms”). The Terms may be updated by NBS from time to time without notice to you; however, NBS will not alter Section 7 or impose charges for use without your further acceptance. 2. Description of Services NBS' website provides users with access to online resources, including contact and networking information, research information (on projects and article citations), and news and events (“the Services”). Unless explicitly stated otherwise, any new features that alter or enhance the Services will be subject to the Terms. In order to use the Services, you must obtain access to the world wide web, and you must pay any service fees associated with such access. 3. Registration Obligations In consideration of your use of the Services, and subject to Section 4 you consent to deliver such personal and other information for use of the Services, and shall: (i) provide true, accurate, current, and complete information about yourself and any organization you represent (the “User Data”), and (ii) maintain and promptly update the User Data to keep it true, accurate, current, and complete. NBS membership can be granted or revoked at any time and for any reason by NBS' Managing and Executive Directors. 4. The Network Privacy Policy Subject to its privacy policy, NBS may disclose to third parties certain aggregated data as contained in the User Data or in related data, provided that such information will not include personally identifying information except as specifically authorized by you or except as reasonably necessary to (i) comply with legal requirements, (ii) enforce the Terms, (iii) undertake NBS' networking functions, or (iv) take action under any of the circumstances set forth in NBS' privacy policy, as amended from time to time. 5. Your Conduct You and any organization you represent are solely responsible and liable for all information, data, text, software, graphics, images or other materials (collectively “Content”), whether publicly posted or privately transmitted, that you upload, post, or transmit via the Services. Although the Content will constantly be monitored, NBS does not guarantee the accuracy, integrity, or quality of such Content. In using the Services, you will not, whether intentionally or unintentionally: a. Upload, post, or transmit any Content regardless of whether such Content actually violates applicable statutes or other laws or that is harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, racially or ethnically offensive or otherwise objectionable; b. Harm or cause to be harmed anyone in any way, including minors; c. Impersonate any person or entity, including a NBS representative, or falsely state or otherwise misrepresent your affiliation with a person or entity; d. Upload, post, or transmit any Content: (i) to which you do not have the requisite rights, (ii) that infringes any patent, trademark, trade secret, copyright, or other proprietary right of any party, (iii) that constitutes unsolicited or unauthorized advertising, promotional material, “spam,” or any other form of solicitation, or (iv) that contains software viruses or any other computer code, files, or programs designed to interrupt, limit the functionality of, or otherwise adversely affect or otherwise impair any computer software or hardware or any telecommunications equipment; e. Interfere with or disrupt the Services or the servers or networks connected to the Services; f. Collect or store personal data about other users other than such data as is provided within the Services; g. Promote or provide instructional information about illegal activities, promote harm or injury to any group or individual, or promote any act of cruelty, whether to animals or otherwise; or h. Engage in solicitation or commercial activities unless NBS-approved including displaying sponsorship banners for services or other incentives to users in exchange for hyperlinks to their Web sites. 6. International Use Recognizing the global nature of the world wide web, you will comply with all local rules regarding online conduct and acceptable Content, including all applicable laws regarding the transmission of technical data exported from the country in which you reside. 7. Content Submissions NBS claims no ownership rights to the Content you place in the NBS website. By submitting Content to NBS for inclusion for its website, you grant NBS the worldwide, royalty-free, non-exclusive license to reproduce, modify, translate, adapt and publish the Content solely for the purpose of displaying, distributing, and promoting your Content on the NBS website. This license exists only for as long as you continue to be a NBS Member and will terminate at the time your NBS account is terminated, which you can do at any time through written communication to the Managing Director. NBS will have, in its sole discretion, the right (but not the obligation) to review, screen, refuse, remove, or discard any Content that violates the Terms or is otherwise objectionable, unacceptable or undesirable. You will evaluate, and bear all risks and liabilities associated with, the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content. 8. Responsibilities You and any organization you represent are solely liable and responsible for any claim or demand made by a third party due to or arising out of your Content, your use of the Services, your connection to the Services, your violation of the Terms, or your violation of the rights of another. 9. No Resale of Services You will not reproduce, duplicate or copy, except for educational or research purposes, or sell, resell, or exploit any portion of the Services. 10. Services Modifications The Network reserves the right at any time to modify, suspend, or discontinue, temporarily or permanently, the Services (or any part thereof, including specific website pages) with or without notice. the Network will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services. 11. Termination NBS may, in its sole discretion, terminate your use of or access to the Services, or your use of or access to any other NBS services, for inappropriate conduct as outlined in paragraph 5, above. Termination may also occur if your information is not kept up-to-date, or if your work is no longer deemed relevant to NBS' domain. Upon any such termination, NBS may immediately deactivate or delete your NBS account and all related information, passwords, and files and may bar any further access to such files or to the Services. NBS is not liable to you for any such termination. 12. Links Either the Services or third parties may provide links to other World Wide Web sites or resources. NBS is not responsible or liable for the availability of such external sites or resources, and does not endorse, and is not responsible or liable for any content, advertising, products, or other materials on or available from, such sites or resources. Further, NBS is not responsible or liable for any damage or loss caused, or alleged to be caused, by or in connection with any use of, reliance on or association with such content, goods or services. 13. The Network Proprietary Rights The Services and any software provided by NBS in connection with the Services (“Software”) contain proprietary or confidential information that is protected by applicable intellectual property rights and other laws or statutory provisions. Further, content contained in information available to you through the Services is protected by copyrights, trademarks, service marks, patents, or other proprietary rights and laws. Except as expressly authorized by  NBS, you will not modify, sell, distribute, or create derivative works based on the Services or the Software, in whole or in part. NBS grants you a limited, personal, non-transferable, non-exclusive license to use the object code for the Software on a single computer, provided that with respect to such Software you do not (and do not allow any third party to) copy, modify, sell, create a derivative work of, reverse engineer, decompile, reverse assemble or otherwise attempt to discover any source code to the Software. This agreement does not grant to you as a Member any right, title or interest in or license NBS proprietary information, the Services or the Software, except as expressly provided for herein. 14. Disclaimer of Warranties a. Your use of the Services is at your sole risk and liability. The Services are provided on an “as is” and “as available” basis. NBS expressly disclaims all warranties of any kind, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. b. NBS makes no warranty that (i) the Services will meet your requirements, (ii) the Services will be uninterrupted, timely, secure, or error-free, (iii) any results that may be obtained from use of the Services will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you through the Services will meet your expectations, or (v) any errors in the Software will be corrected. c. Any Content downloaded or otherwise obtained through the use of the Services is at your own discretion and risk. You are solely responsible any damage to your computer system, and for the loss of data that results from any such material. d. No advice or information, whether oral or written, obtained by you from NBS or through or from the Services, will create any warranty not expressly stated in the Terms. 15. Limitation of Liability NBS is not liable for any direct, indirect, incidental, special, or consequential damages, including damages for loss of profits, goodwill, use or data (even if NBS has been advised of the possibility of such damages), resulting in any manner from the Services, including: a. The use of, or inability to use, the Services; b. The cost of procuring substitute goods or services; c. Unauthorized access to or alteration of your Content, transmissions or User Data; or d. Statements or conduct of any third party. You hereby acknowledge that the World Wide Web is not a secure medium, may be inherently unreliable and be subject to interruption or disruption, and may further be subject to inadvertent or deliberate breaches of security. 16. Exclusions and Limitations Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the limitations in Sections 14 and 15 may not apply to you. 17. Notices Notices to you may be made via email. The Services may also provide notices of changes to the Terms or other matters by displaying notices or links to notices generally on the Services. 18. Copyright NBS respects the intellectual property rights of others and expects you to do the same. 19. General a. The Terms constitute the entire agreement between you and NBS governing the Services. The Terms supercede any prior communications, understandings, statements, or agreements between you and NBS; further, the latest version of the Terms supercedes any prior versions of the Terms. b. The Terms and the relationship between you and NBS will be governed by the laws of the Province of Ontario, Canada, without regard to its conflict-of-law provisions. You and NBS hereby submit to the exclusive jurisdiction of the courts located within the Province of Ontario. c. The failure of NBS to exercise or enforce any provision of the Terms will not constitute a waiver of such provision. d. If any provision of the Terms is found by a court of competent jurisdiction to be invalid, the court shall nevertheless give effect to the parties’ intentions as reflected in the provision, and allow the other provisions of the Terms to remain in full force and effect. 20. Violations All violations of the Terms should be immediately reported to NBS, using as the subject “Site Policies.” 21. Sole Remedy If you are at any time dissatisfied with the application of the Services, your sole and exclusive remedy is to cease using the Services, and remove all Content posted by you on the NBS site.
